On July 16, Philadelphia Phillies first baseman Ryan Howard hit his 200th career home run, which landed in the hands of 12- year-old Jennifer Jones. Afterward, Phillies officials escorted Jennifer alone to the clubhouse and persuaded her to accept an autographed ball from Howard in exchange for the home-run ball, which Jennifer accepted.

When Jennifer returned to her seat and told her father what had happened, he was furious. Her father was a collector of baseball memorabilia and knew that 200th career home run baseballs hit by players of the stature of Howard never sold for less than $1,000 on E-Bay.

Jennifer's father went and found the Phillies official who had persuaded Jennifer to exchange the baseballs. He told him he thought it was despicable that the Phillies would enter into such a deal with a 12-year old girl and that if they didn't give the baseball that Jennifer had actually caught back to Jennifer, he would go to the local newspapers and tell them how the Phillies had cheated his 12-year old daughter out of a valuable piece of memorabilia.

The Phillies official, out of fear of bad publicity, then suggested that instead of returning the baseball they give Jennifer's dad two season tickets for next year to Phillies games. Dad knew that two season tickets were worth several thousands of dollars. He then said, "Forget the baseball, I'll take the tickets." The Phillies official then whipped out a voucher for two season tickets, handed them to Dad and said, "Here you go."

Jennifer cried the whole way home from the ballpark. She was inconsolable. She wanted to get the ball she actually caught back. Dad realized that the season tickets weren't worth as much as the experience of catching your first baseball at a major league game; priceless.

Does Jennifer have a contractual right to get the original baseball back from the Phillies?

Can the Phillies enforce the contract with Dad to exchange the original baseball for two season tickets?

On July 4, 1990, Moe mailed to Larry a written offer to sell ten shares of an unlisted stock at $60.00 per share. Larry was given four days from the date of the letter to accept. The offer was received on July 6 at 2 p.m. At 3 p.m. on July 6, Larry mailed a letter to Moe which stated in part: "will purchase ten shares at $55.00 per share. . . . " At 11 a.m. on July 6, however, Moe had sold the ten shares to Curly for $65.00 and at 1 p.m. of the same day had mailed a letter to Larry revoking the offer. Larry who was blissfully unaware of Moe's activity, learned at 4 p.m. on July 6 that the market price of the shares might increase and, at 5 p.m. on the same day, telegraphed Moe to "disregard letter . . . will take offered stock for $60.00 per share." Larry's telegram of July 6 was received by Moe at 9 a.m. on July 7. Larry's letter of July 6 was received by Moe at 2 p.m. on July 8. Moe's letter of July 6 was received by Larry at 2 p.m. on July 8.

Larry claims that he has a contract with Moe for the purchase of the stock. Is this contention correct? discuss fully and in your answer deal with the following:

Jennifer vs. Phillies

Contract Formation. Contracts are formed through a process of offer and acceptance and must be supported by consideration.

Adequacy of Consideration. Courts don't inquire into the adequacy of consideration. That is, they don't determine whether what was exchanged was of equivalent value.

Capacity to Contract. Jennifer being the age of 12 years old, was a minor and the general rule is that the contract of a minor other than for the necessities of life is voidable at the minor's option. So, Jennifer would have an absolute right to void the contract and get the ball back.

A minor who chooses to avoid the contract must return any consideration that she has received. So Jennifer would have to return the autographed ball she received in exchange for the home run ball. If for any reason she no longer had the autographed ball, she wouldn't have to return it. This is so even if the minor has squandered or destroyed the consideration.

Dad vs. Phillies

Duress/Coercion. Dad's threats raise the issue of whether the Phillies agreeent was the product of duress or coercion. Duress is the making of an unlawful threat. Coercion is the use of undue influence to achieve the other parties assent to an agreement.

Statute of Frauds. This oral agreement raises the issue of whether or not there was compliance with the writing requirement of the statute of frauds. The general rule is that oral agreements are valid and enforceable. However, some types of contracts must be evidenced by a note or memorandum signed by the party to be charged in order to be enforceable.

One of those categories are contracts for the sale of goods for a price of $500 or more.

Larry's contention that he has a contract to purchase the stock is correct.

 

 

The legal right of Moe to revoke his offer before it is accepted.

An offer may be revoked anytime prior to acceptance. The only exceptions to this rule are situations of option contracts or detrimental reliance. An option contract is an offer that is irrevocable for a stated period of time. However, an option contract must be supported by separate consideration. Otherwise, the promise to keep the offer open, in this case for four days from the date of the letter, is merely gratuitous. This offer is subject to the usual rule that it may be withdrawn any time prior to acceptance.

An offeror may lose the power to revoke the offer prior to acceptance where it is foreseeable that the making of the offer will result in substantial action or forbearance on the part of the offeree, such action or forbearance actually results, and injustice can only be avoided by enforcing the promise. None of these conditions exist. This was not an offer which invited acceptance by performance (a unilateral contract) but rather invited acceptance by the making of a promise. No substantial action or forbearance was foreseeable on the part of the promisee as a result of the promisor merely making the offer.

The legal effect, if any, of Larry's letter of July 6.

Larry's letter of July 6 was a counteroffer. At common law an acceptance had to be the mirror image of the offer. If it varied from the terms of the original offer in any manner, no matter how trivial or insignificant, it operated as a counteroffer or rejection. I.e., a counteroffer has the same effect as an outright rejection. It terminates the power of acceptance. The offeree cannot revive the negotiations by later attempting to accept the original offer. Since a counteroffer is a rejection it is governed by the rule that a rejection is effective upon receipt. Hence, it was effective at 2 p.m. July 8.

The legal effect, if any, of Moe's sale of the stock to Curly.

The power of acceptance is terminated when the offeror takes any action inconsistent with keeping the offer open and the offeree receives reliable information to that effect. This is sometimes called "indirect revocation."

Here, Moe certainly took action inconsistent with keeping the offer open (he sold the stock to someone else). The problem is there are no facts to indicate that Larry learned of this fact from any reliable source (or from any source at all for that matter.)

The legal effect, if any, of Moe's letter of July 6.

The power of acceptance is terminated by express notice of revocation. Moe's July 6 letter was certainly such express notice.

 

 

However, a revocation is not effective until it is received. If this were the only circumstance then the revocation did not take effect until 2 p.m. July 8 when it was received. Coincidentally, this is the same time that Larry's counteroffer and rejection was received.

The legal effect, if any of Larry's telegram of July 6.

An acceptance is an unequivocal assent to the terms of the offer made in the manner or mode invited or required by the offeror. Acceptance results in a contract with the consequence that neither party can withdraw from the bargain without incurring liability to the other.

The acceptance in this case is unequivocal. (Will take offered stock for $60.00 per share." No manner or mode of acceptance was suggested or required therefore any reasonable manner or mode under the circumstances is effective. Considering that the offer was made by mail, telegram is at least as expedient if not a more efficient mode of communication and hence is reasonable. Under the "mailbox rule" of Adams v. Lindsell acceptance is effective upon dispatch. I.e., when it is put out of the control of the offeree. Hence acceptance was effective at 5 p.m. July 6th. This was prior to the rejection by counteroffer becoming effective (2 p.m. July 8) and prior to the express revocation becoming effective (2 p.m. July 8). And as stated before Larry never received reliable information that Moe had already sold the stock so there was never an effective indirect revocation.

There is an enforceable contract for the sale of the stock between Moe and Larry.

You are working for the consultant. Your job is to identify the issues from the response that should be considered further by the consultant team and possibly discussed with the governing board and the CEO. The firm has a rule, “Never offer a criticism or negative finding without suggesting how the client organization can correct it,” so you must indicate what sort of correction you would recommend as part of your list. Because you know there were about two (2) dozen other interviews, you decide you should rank your issues in importance, to make sure the most critical are discussed.

Write a six to eight (6-8) page paper in which you:

  1. Explain the governing board’s role in these strategic initiatives, determining its responsibility and involvement.
  2. Evidence-based management means that operational and strategic decisions are made based upon the evidence that goals and objectives are actually being met. Quantitative measurements must be identified and measured. This data is then used to evaluate the HCO’s performance. Name three (3) performances Middleville can use to measure its success in providing quality healthcare to the community, and identify quantifiable, measureable indicators that can be used to do so. Explain the importance of each performance measurement.
  3. Given the statistics of Middleville and its two (2) competitors provided in Table 1, recommend to the HCO what areas it should focus on to maintain its competitive market share as well as continue to provide healthcare to the community in the 21st century.
  4. Some of Middleville’s Board members are very interested in pursuing advanced technology systems over the next five (5) years, while others are concerned about the enormous expense and need assurance that the investment in technology will be worthwhile. In both monetary and process terms, describe the costs and benefits associated with implementing EMR and associated health data systems. Lay out a plan for how various systems can be implemented.
  5. Middleville has faced many challenges in recruiting and retaining nurses and other clinical employees. The economy has hit the area very hard and budgetary limitations have reduced the amount of money available for salary increases. The Board knows it needs to provide other benefits to their valued employees. Provide at least two (2) suggestions to Human Resources to promote employee satisfaction and, therefore, retain experienced personnel.

The HelloFresh Future Committee is armed with the task of maintaining a formal sustainability structure into all elements of our business.  The committee helps prioritize the interest of our colleagues and customers through sustainability reporting.  The report allows HelloFresh an opportunity to inform our employees and management what is transpiring within the company and how it affects them.  Along with reporting will be scheduled monthly meetings for employees and management to answer questions, express concerns and provide ideas they may have.

The committee will also be used to assist with the integration of Green Chef and HelloFresh, making sure those from Green Chef are introduced to everything from the HelloFresh vision.  In addition to making sure we are receptive to their ideas and willing to create an inclusive environment for both companies allowing them to feel involved and empowered about their contributions.

In our effort to expand our product line to be inclusive to those with food allergies and intolerances, it will be essential, to be honest, and diligent with our efforts to gain buy-in.  The need for more food options that include those with food allergies and intolerances are there.  Acquiring Green Chef provides us an excellent opportunity to enter that arena as they have experience servicing those with food intolerances.  Their knowledge and HelloFresh resources creates a support system for success.  At HelloFresh, we understand when attempting to gain buy-in, relationships are as important as ideas.

As JC Penney moves to acquire Stitch Fix, my biggest concern is finding and dealing with detractors.  If I cannot instill the dire sense of urgency in everyone at JCP, resistors and detractors will be quickly and publicly removed from the organization.  The speed required to make drastic strategic changes will not allow for any resistors to impede the process.

When we think about the study of public administration,  we are observing the behavior of others with the intent of providing lessons. All management studies strive to generalize from the particular to a broader class.  What does this mean? Say the local health department is tasked with an annual survey of services delivered and impact on recipients.  I could write a manual that details the steps the field office staff member takes. But this manual is of limited value to a broader audience of public administration students. On the other hand, I could analyze the program (this type of analysis is called action analysis) and observe similar programs elsewhere to prepare a lesson on effective program delivery.

Employees without a professional training in public administration can be quite effective. Employees with professional training might see the strengths and weaknesses of a local initiative and provide the insights useful in strengthening that local program.   

I will add that I was privileged to study a public administration that strove to train students to see public administration through a constitutional frame of references and service as an obligation,  not a job. We saw programs we studied not as "jobs" with a paycheck, but as vehicles for public engagement. It was Woodrow Wilson who wrote that public servants are the bulwark of a democracy, much more so than legislators or the executive. The impact on value of IPUs is striking. With a dramatic contrast compared to regional averages, patients at Virginia Mason’s Spine Clinic miss fewer days of work (4.3 versus 9 per episode) and need fewer physical therapy visits (4.4 versus 8.8).

 

The shift to value-based health care delivery represents an opportunity to create a more patient-centered organization as well as a more efficient one. Resource limitations and other pressures place a strain on an organization’s ability to change, and organizations respond to these pressures of change differently.

To prepare for this Discussion:

Consider the impact of the transition from volume- to value-based health care delivery in your organization or one with which you are familiar.

Potential transitions to consider may be examples such as the shift from inpatient to ambulatory care, the Patient Centered Medical Home (PCMH) initiative, or the Delivery System Reform Incentive Payment (DSRIP) initiative.

The epic battle between two of the Koch brothers tested the limits of both of their power bases within Koch Industries. Organizations have people, and where you have people you have politics. However, some characteristics of organizations and of individuals are more likely to lead to political behavior.

If your organizational has unclear expectations or reward systems, then employees will be more likely to use political behavior in order to advance themselves. The more clearly defined performance expectations are, the more likely employees are to focus on their job rather than engage in politics. Also, creating an atmosphere of trust is another factor that minimizes politics. A lack of trust is one reason why people will resort to political behavior. In this module, you will learn about several other important individual and organizational factors that lead to political behavior.

There are numerous types of political behavior. For example, employees may selectively distribute information and keep some information to themselves in order to advance themselves or their agendas. Employees may go even further and attack or blame other employees. Another common political tactic is to form a coalition with other employees or departments that share their same political agenda. These are just a few examples of political behavior that you will read about.

As a leader, you can use your knowledge of political behavior and its causes to minimize the level of politics in your organization and keep everyone focused on doing their jobs. Likewise, you can also use politics to advance your own power or promotion. No matter how much distaste for politics you might have, some political behavior may be necessary to effectively do your job. But at the same time, you also need to be aware of the ethical considerations of political behavior. For any act of political behavior, you need to weigh the utilitarian outcome of your actions. That means ensuring that more good is done than harm as a result of your action. You also need to consider the individual rights of your employees. No action can be considered ethical if anyone’s rights are violated. Finally, you also need to consider distributive justice—which means ensuring that employees are treated equitably and fairly. In summary, politics are not necessarily evil but at the same time true leaders need to avoid the “dark side” and make sure they carefully consider the consequences of their actions.

However, most organizations keep their political battles private and it is rare that the public will know the details about political intrigue within the major corporations. However, Hewlett-Packard (HP) is rare in that its political battles were waged publicly. HP will make for an ideal case study both because of the intense political behavior occurring at the top and because many articles have been written about these political battles.

HP has been through five CEOs since 2005, and each change of CEO has been controversial. The drama started in 2005 when then CEO Carly Fiorina was under attack from several members of HP’s Board of Directors. Some board members even took the dispute public by leaking information to the press. Fiorina fought back by investigating the leaks, but ultimately lost the battle and was ousted as CEO. Her replacement, Patricia Dunn, continued to investigate leaks by the board through the use of private investigators. Even more controversy emerged when it was discovered that the investigators used the method of “pretexting” in order to obtain phone records of board members.

Case Assignment

For this assignment, make sure to first carefully review the background materials regarding the causes of political behavior, types of political behavior, and the ethics of political behavior. Examples of the causes of political behavior include competition for resources, ambiguous organizational goals, lack of trust, and performance factors. Examples of types of political behavior include blaming others, selectively distributing information, managing impressions, and forming coalitions. Regarding ethics, consider the three main factors:

·         Does the political action violate individual rights?

·         Does it improve the welfare of those involved?

·         Does it increase distributive justice?
